Welcome to torq.io (together with its subdomains, Content, Marks and services, the “Site”). Please read the following carefully prior to using this Site, so that you are aware of your legal rights and obligations with respect to Torq Technologies Ltd. and its affiliates (“Torq“, “we“, “our” or “us“). By accessing or using the Site, you agree to these Terms of Use, as well as to our Privacy Policy (these Terms of Use and the Privacy  Policy are referred to collectively as the “Terms“). If you do not agree to be bound by these Terms, please do not access or use the Site. 

The Site is only intended for individuals aged thirteen (13) years or older.  If you are under 13 years of age, please do not visit or use the Site.  If you are between 13 and 18 years of age, you must review these Terms with your parent or guardian before visiting or using the Site to ensure that you and your parent or guardian understand these Terms and agree to them.

We reserve the right, at our discretion, to change these Terms of Use at any time, without giving you prior notice. Such change will be effective as of the date that the updated Terms of Use are published on the Site. Your continued access to the Site following the implementation of any changes will be deemed as acceptance to the changes.

  1. Permitted Use of the Site

    2. The Site is intended to provide general information regarding Torq and our products and services, and/or for submitting information to Torq. You may use the Site, and the information, writings, images and/or other works that you see, hear or otherwise experience on the Site (“Content“) solely for your non-commercial, personal purposes and/or to learn about Torq and the products, services, and opportunities we offer, provided that this is all done in compliance with these Terms of Use.

    Content is provided to you for your information and personal use only, and may not be used, modified, copied, distributed, transmitted, broadcast, displayed, sold, licensed, de-compiled, or otherwise exploited for any other purposes whatsoever without our prior written consent. If you download or print a copy of the Content, you must retain all copyright and other proprietary notices contained therein. 

  2. Prohibited Use of the Site

    3. By accessing the Site, you agree that you will not: (i) use this Site in violation of these Terms of Use and/or any applicable law; (ii) copy, modify, create a derivative work from, reverse engineer or reverse assemble the Site, or otherwise attempt to discover any source code, or allow any third party to do so; (iii) sell, assign, sublicense, distribute, commercially exploit, grant a security interest in or otherwise transfer any right in, or make available to a third party, the Content or Site in any way; (iv) use the Site in any manner that impairs the Site or interferes with any other person’s use and enjoyment of the Site, and/or disrupt servers or networks connected to the Site; (v) use or launch any automated system (including without limitation, “robots” and “spiders”) to access the Site; and/or (vi) circumvent, disable or otherwise interfere with security-related features of the Site or features that prevent or restrict use or copying of any Content or that enforce limitations on use of the Site. 

  3. Privacy

    4. We will use any personal information that we may collect or obtain in connection with the Site in accordance with our Privacy Policy. You agree that we may use personal information that you provide or make available to us in accordance with the Privacy Policy.

  4. Intellectual Property Rights

    5. The Site, Content, and the trademarks, service marks and logos contained therein (“Marks“), are the property of Torq and its licensors, and may be protected by applicable copyright or other intellectual property laws and treaties. “Torq”, the Torq logo, and other like marks are all Marks of Torq. All other trademarks, service marks, and logos used on the Site are the trademarks, service marks, or logos of their respective owners. We reserve all rights not expressly granted in and to the Site and the Content. Torq may use and incorporate any suggestions or other feedback you provide regarding the Site, without payment or condition.

  5. Third Party Links

    6. The Site may contain links to third party websites that are not owned or controlled by Torq. We are not affiliated with, have no control over, and assume no responsibility for the content, privacy policies, or practices of, any third party websites. You are solely responsible for your use of third party websites, and expressly release Torq from any and all liability arising from your use of any third party website.

  6. Warranty Disclaimer

    7. THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND YOUR USE OF THE SITE IS AT YOUR OWN RISK. TORQ HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, INCLUDING EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THOSE ARISING BY STATUTE OR FROM A COURSE OF DEALING OR USAGE OF TRADE. TORQ DOES NOT GUARANTEE THAT THE SITE WILL BE FREE OF BUGS, SECURITY BREACHES, OR VIRUS ATTACKS. THE SITE MAY OCCASIONALLY BE UNAVAILABLE FOR ROUTINE MAINTENANCE, UPGRADING, OR OTHER REASONS. YOU AGREE THAT TORQ WILL NOT BE HELD RESPONSIBLE FOR ANY CONSEQUENCES TO YOU OR ANY THIRD PARTY THAT MAY RESULT FROM TECHNICAL PROBLEMS OF THE INTERNET, SLOW CONNECTIONS, TRAFFIC CONGESTION OR OVERLOAD OF OUR OR OTHER SERVERS. 

    EXCEPT AS EXPRESSLY STATED IN OUR PRIVACY POLICY, TORQ DOES NOT MAKE ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE SECURITY OF ANY INFORMATION YOU MAY PROVIDE OR ACTIVITIES YOU ENGAGE WHEN USING THE SITE.

  7. Limitation of Liability 

    8. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, TORQ WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, EXEMPLARY, SPECIAL, CONSEQUENTIAL, OR INCIDENTAL DAMAGES OF ANY KIND, OR FOR ANY LOSS OF DATA, REVENUE, PROFITS OR REPUTATION, ARISING UNDER THESE TERMS OR OUT OF YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF TORQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

    IN NO EVENT WILL TORQ’S AGGREGATE LIABILITY FOR ANY DAMAGES ARISING OUT OF THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SITE, EXCEED EXCEED ONE HUNDRED UNITED STATES DOLLARS (US $100).

  8. Indemnification

    9. You agree to defend, indemnify and hold harmless Torq and our affiliates, and our respective officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs and expenses (including but not limited to attorney’s fees) arising from: (i) your use of, or inability to use, the Site; (ii) your interaction with any Site user; or (iii) your violation of these Terms.

  9. Termination

    10. Torq, at its sole discretion, has the right to terminate these Terms and/or your access to the Site, or any part thereof, immediately at any time for any reason. Torq will not be liable to you or any third party for termination of the Site, or any part thereof. If you object to any term appearing in these Terms, or any subsequent modifications thereto, or if you become dissatisfied with the Site in any way, your sole recourse is to immediately discontinue using the Site. Upon termination of these Terms, you will cease all use of the Site. The following sections will survive termination of these Terms: ‎3 (Privacy), ‎4 (Intellectual Property Rights),  ‎6 (Warranty Disclaimer), ‎7 (Limitation of Liability), ‎8 (Indemnification), ‎9 (Termination), ‎‎14 (Governing Law) and ‎15 (General). 

  10. Additional Terms of Use

    11. If you access and participate our Torq Community (community.torq.io), your access and use thereof will be governed by the Torq Community Terms of Use.

  11. Communications

    12. When you contact Torq through the Site (for example, when using our “Contact Us” page, or when requesting a demo), you will be required to provide contact information, including full name and email address. When doing so, you grant us the permission to contact you using the contact details provided. If you do not wish for Torq to these contact details, please do not provide such details. Please note however, that provision of contact details is a pre-requisite to using these options in the Site. Without derogating from the provisions of Terms of Use, you hereby agree that all agreements, notices, disclosures and other communications that Torq provides you electronically satisfy any legal requirement that such communications be in writing.

  12. Payments to Torq

    13. Except as expressly set forth in the Terms, your general right to access and use the Site is currently for free, but Torq may in the future charge a fee for certain access or usage. You will not be charged for any such access or use of the Site unless you first agree to such charges, but please be aware that any failure to pay applicable charges may result in you not having access to some or all of the Site.

  13. Accuracy

    14. We try our best to ensure that our Content is as accurate as possible. However, we cannot and do not warrant that the Content available on the Site is accurate, complete, reliable, current, or error-free. We reserve the right to make changes in or to the Content, or any part thereof, in our sole judgment, without the requirement of giving any notice prior to or after making such changes to the Content. Your use of the Content, or any part thereof, is made solely at your own risk and responsibility.

  14. Governing Law

    15. These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to its principles of conflict of laws. You agree to submit to the personal and exclusive jurisdiction of the courts located in Tel Aviv-Jaffa and waive any jurisdictional, venue, or inconvenient forum objections to such courts, provided that Torq may seek injunctive or other equitable relief in any court of competent jurisdiction. 

  15. General 

    16. Torq reserves the right to discontinue or modify any aspect of the Site at any time. You and Torq are independent contractors, and nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Torq. You must not under any circumstances make, or undertake, any warranties, representations, commitments or obligations on behalf of Torq. No by Torq waiver of any term appearing in these Terms will be deemed a further or continuing waiver of such term or any other term, and Torq’s failure to assert any right or provision under these Terms will not constitute a waiver of such right or provision. These Terms constitute the entire agreement between you and Torq concerning the Site. For the avoidance of doubt, use and provisioning of Torq’s software-as-a-service product and related support and professional services are subject to separate terms, such as our Torq Master Service Agreement and/or other governing agreement(s) between you and Torq. These Terms, and any rights and licenses granted under these Terms, may not be transferred or assigned by you without our prior written consent, but may be transferred and assigned by Torq without restriction.
