Welcome to the Torq Community! Our Torq Community is a place for Torq users to share feedback, ideas, templates and other works made related to Torq’s services. 

Please read the following carefully prior to using the Torq Community (community.torq.io), so that you are aware of your legal rights and obligations with respect to Torq Technologies Ltd. and its affiliates (“Torq“, “we“, “our” or “us“). By accessing and/or participating in the Community, you agree to be bound by these Terms of Use, our Privacy Policy, and our Torq Community Code of Conduct and any other terms, guidelines or policies as they appear on our Community from time to time (collectively, the “Terms”).

If you are participating in the Community on behalf of a company, organization or other entity, then “you” means that entity, and you are binding that entity to these Terms and represent and warrant that you have all necessary authority to do so. If you do not have authority or if you do not agree with these Terms, you may not participate in the Community. 

The Community is only intended for individuals aged thirteen (13) years or older.  If you are under 13 years of age, please do not use the Community.  If you are between 13 and 18 years of age, you must review these Terms with your parent or guardian before using the Community to ensure that you and your parent or guardian understand these Terms and agree to them.

We reserve the right, at our discretion, to change these Terms of Use at any time, without giving you prior notice. Such change will be effective as of the date that it is published on the Community. Your continued access to the Community following the implementation of any changes will be deemed as acceptance to the changes.

  1. Permitted Use of the Community

    2. The Torq Community is intended for discussion and collaboration regarding Torq’s services. You may use the Community, as well as the information, writings, images and/or other works that you see, hear or otherwise experience on the Community (“Content“) for this intended purpose only, and not for any other purpose, such as advertising, solicitation etc. When participating in the Community, you also may submit certain content, including templates, stickers, descriptions, testimonials, feedback, comments, suggestions, requests, questions or other inquiries regarding Torq’s services (“User Content”). 

  2. User Account 

    3. You are required to have a Torq user account in order to access the Community and submit any User Content. You are solely responsible for your account and the activity that occurs in connection with your account, and you must keep your account password secure. You must notify Torq immediately of any breach of security or unauthorized use of your account.  

  3. Prohibited Use of the Community 

    4. By accessing the Community or submitting User Content, you agree that you will not: (i) use the Community or submit User Content in violation of these Terms and/or any applicable law; (ii) copy, modify, create a derivative work from, reverse engineer or reverse assemble the Community and/or Content, or otherwise attempt to discover any source code, or allow any third party to do so; (iii) sell, assign, sublicense, distribute, commercially exploit, grant a security interest in or otherwise transfer any right in, or make available to a third party, the Community and/or Content in any way; (iv) impair the Community or interfere with any other person’s use and enjoyment of the Community, and/or disrupt servers or networks connected to the Community; (v) use or launch any automated system (including without limitation, “robots” and “spiders”) to access the Community; (vi) circumvent, disable or otherwise interfere with security-related features of the Community or features that prevent or restrict use or copying of any Content or that enforce limitations on use of the Community; (vii) infringe any intellectual property rights or violate any other rights of any third party, including privacy and publicity rights; (viii) submit User Content which is unlawful, defamatory, libelous, fraudulent, malicious, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or which encourages conduct that would give rise to civil or criminal liability, or which is otherwise inappropriate.

  4. User Content

    5. You are responsible for any User Content you submit to the Community and for the consequences of submitting such User Content. You retain any ownership rights you may have to any User Content that you submit. However, you understand and acknowledge that any User Content that you submit will be made available to and may be used by other users of the Community, including their respective organizations. As such, you are responsible for ensuring that any User Content submitted to the Community does not contain any information that is confidential or sensitive in nature. By submitting User Content, you grant Torq and, at our sole discretion, other users of the Community, a worldwide, non-exclusive, royalty-free, irrevocable, perpetual, royalty-free, sub-licensable and transferable license to use, reproduce, distribute, create derivative works of, and publicly display and perform your User Content in any form or format and through any media (including in the case of Torq, in connection with our services and in our marketing and publicity). Torq will endeavour to contact you before using User Content. If your User Content contains your name, image or likeness, you waive any claim under any rights of privacy or publicity related to use of the same in connection with use of your User Content.

    We have no obligation to (but may, in our discretion) monitor or review User Content. You are solely responsible for the enforcement of any of your rights to the User Content, and Torq shall not be held liable or responsible for providing assistance to you regarding the same. We have no responsibility for and make no promises about User Content of other users made available on the Community, including whether such User Content infringes any third-party right or as to its reliability, accuracy, usefulness or safety. You may find User Content on the Community to be offensive, indecent or objectionable. However, you agree not to hold us responsible in any way for any User Content you encounter. If you believe that anything on the Community infringes your intellectual property rights, you should notify us as soon as possible by emailing [email protected]. 

    We reserve the right to edit or remove any User Content at any time and for any reason without notice, including if it violates these Terms. We do not promise to store or make available on the Community any of your User Content or any other Content for any length of time. 

  5. Privacy

    6. We use personal information that we may collect or obtain when user participate in our Community in accordance with our Privacy Policy. You agree that we may use personal information that you provide or make available to us in accordance with the Privacy Policy.

  6. Intellectual Property Rights 

    7. The Community contains proprietary and confidential information that is protected by intellectual property and other laws. Torq and its licensors retain all right, title and interest in and to the Community, Content (other than User Content), and the trademarks, service marks and logos appearing therein (“Marks“). “Torq”, the Torq logo, and other like marks are all Marks of Torq. Any other trademarks, service marks, and logos used on the Community are the trademarks, service marks, or logos of their respective owners. Torq may use and incorporate any suggestions or other feedback you provide regarding the Community, without payment or condition.

  7. Third Party Links

    8. The Community may contain links to, and may enable you to post content from, third party websites that are not owned or controlled by Torq. We are not affiliated with, have no control over, and assume no responsibility for the content, privacy policies, or practices of, any third party websites. You are solely responsible for your use of and linking to third party websites and any content that you may post regarding such third party website, and expressly release Torq from any and all liability arising from your use of any third party website.

  8. Warranty Disclaimer

    9. THE COMMUNITY AND CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND YOUR USE OF THE COMMUNITY IS AT YOUR OWN RISK. TORQ HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, INCLUDING EXPRESS AND IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THOSE ARISING BY STATUTE OR FROM A COURSE OF DEALING OR USAGE OF TRADE. TORQ DOES NOT GUARANTEE THAT THE COMMUNITY WILL BE FREE OF BUGS, SECURITY BREACHES, OR VIRUS ATTACKS. THE COMMUNITY MAY OCCASIONALLY BE UNAVAILABLE FOR ROUTINE MAINTENANCE, UPGRADING, OR OTHER REASONS. YOU AGREE THAT TORQ WILL NOT BE HELD RESPONSIBLE FOR ANY CONSEQUENCES TO YOU OR ANY THIRD PARTY THAT MAY RESULT FROM TECHNICAL PROBLEMS OF THE INTERNET, SLOW CONNECTIONS, TRAFFIC CONGESTION OR OVERLOAD OF OUR OR OTHER SERVERS. 

    EXCEPT AS EXPRESSLY STATED IN OUR PRIVACY POLICY, TORQ DOES NOT MAKE ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE SECURITY OF ANY INFORMATION YOU MAY PROVIDE OR ACTIVITIES YOU ENGAGE IN WHEN USING THE COMMUNITY.

  9. Limitation of Liability

    10. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, TORQ WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, EXEMPLARY, SPECIAL, CONSEQUENTIAL, OR INCIDENTAL DAMAGES OF ANY KIND, OR FOR ANY LOSS OF DATA, REVENUE, PROFITS OR REPUTATION, ARISING UNDER THESE TERMS OR OUT OF YOUR USE OF, OR INABILITY TO USE, THE COMMUNITY, EVEN IF TORQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

    IN NO EVENT WILL THE AGGREGATE LIABILITY OF TORQ FOR ANY DAMAGES ARISING UNDER THESE TERMS OR OUT OF YOUR USE OF, OR INABILITY TO USE, THE COMMUNITY, EXCEED ONE HUNDRED UNITED STATES DOLLARS (US $100). 

  10. Indemnification

    11. You agree to defend, indemnify and hold harmless Torq, our affiliates, and our respective officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs and expenses (including but not limited to attorney’s fees) arising from: (i) your use of, or inability to use, the Community; (ii) your interaction with any Community user; or (iii) your violation of these Terms.

  11. Termination

    12. We may terminate or suspend these Terms or your access to the Community at any time, with or without notice and for any reason. Upon any termination or suspension of these Terms, we may delete your User Content, and we may prohibit you from further use of the Community. You understand that we may also continue to make your User Content available on the Community, or elsewhere as permitted under these Terms, even if your use of the Community is terminated or suspended. We will have no liability to you or any third party for any termination or suspension, nor will termination or suspension limit any other rights or remedies we may have. The following sections will survive any termination of these Terms: ‎6 (Intellectual Property Rights), ‎7 (Warranty Disclaimer), ‎9 (Limitation of Liability), ‎10 (Indemnification), ‎11 (Termination), ‎12 (Governing Law) and ‎13 (General).

  12. Governing Law

    13. These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to its principles of conflict of laws. You agree to submit to the personal and exclusive jurisdiction of the courts located in Tel Aviv-Jaffa and waive any jurisdictional, venue, or inconvenient forum objections to such courts, provided that Torq may seek injunctive or other equitable relief in any court of competent jurisdiction.  

  13. General 

    14. Torq reserves the right to discontinue or modify any aspect of the Community at any time, without notice and without liability. You and Torq are independent contractors, and nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Torq. You must not under any circumstances make, or undertake, any warranties, representations, commitments or obligations on behalf of Torq. No waiver by Torq of any term appearing in these Terms will be deemed a further or continuing waiver of such term or any other term, and Torq’s failure to assert any right or provision under these Terms will not constitute a waiver of such right or provision. These Terms constitute the entire agreement between you and Torq concerning the Community. For the avoidance of doubt, use and provisioning of Torq’s software-as-a-service product and related support and professional services are subject to separate terms, such as our Torq Master Service Agreement and/or other governing agreement(s) between you and Torq. These Terms, and any rights and licenses granted under these Terms, may not be transferred or assigned by you without our prior written consent, but may be transferred and assigned by Torq without restriction.
